oda_ExplanationTextBlock| | Yönetim Kurulumuzun 16/04/2024 tarihli ve 2024/14 sayılı toplantısında bağımsız üyelerin olumlu oyu ile alınan karara göre; Gıda perakende sektörünün önde gelen oyuncuları arasında yer alan Şirketimizin, e-ticaret kanalındaki gelişimine katkı sağlamak ve yeteneklerini geliştirmek üzere, bu alanda İstegelsin markasıyla önemli bir marka bilinirliğine sahip Future Teknoloji Ticaret A.Ş 'nin ödenmiş sermayesinin %100'üne tekabül eden paylarının satın alınması için KPMG Yönetim Danışmanlığı A.Ş.'ye değerleme çalışması yaptırılmıştır. Yapılan değerleme çalışmaları sonucunda; KPMG Yönetim Danışmanlığı A.Ş.'nin 16.04.2024 tarih ve 202401K12826979 sayılı değerleme raporuna (değerleme raporu) göre Şirket değeri; indirgenmiş nakit akım ve benzer şirket çarpanları yöntemlerinin ortalaması baz alınarak 190,0 Milyon TL ve 303,3 Milyon TL değer aralığının orta noktası olan 244,9 Milyon TL olarak belirlenmiştir. İşlem fiyatı, değerleme raporunda belirlenen şirket değer aralığı orta noktasına göre %10 iskonto içerecek şekilde pazarlık usülü ile 220 Milyon TL olarak belirlenmiş olup; Future Teknoloji Ticaret A.Ş 'nin ödenmiş sermayesinin %100'üne tekabül eden payların Future Star E-Ticaret A.Ş'den peşin olarak satın alınması için pay alım sözleşmesi imzalanmıştır. Pay alım sözleşmesi imza tarihi itibariyle Future Teknoloji Ticaret A.Ş 'nin finansal borcu bulunmamaktadır. Bahsi geçen işlem, yatırım kararını ve pay değerini etkileyebilecek nitelikte olması nedeniyle, Sermaye Piyasası Kurulu'nun Özel Durumlar Tebliği'nin 6'ncı maddesi kapsamında 26/01/2024 tarihli, 2024/1 numaralı Yönetim Kurulu kararıyla taraflar arasında somut bir gelişme oluncaya kadar ertelenmişti. | According to the decision taken by the affirmative votes of the independent members at the meeting of our Board of Directors dated 16.04.2024 and numbered 2024/14; In order to contribute to the development of our Company, which is one of the leading players in the food retail industry, in the e-commerce channel and to improve its capabilities, it purchased the shares corresponding to 100% of the paid capital of Future Teknoloji Ticaret A.Ş., which has a significant brand awareness with the İstegelsin brand in this field. For the acquisition, a valuation study was carried out by KPMG Management Consultancy Inc. As a result of the valuation studies; According to the valuation report (valuation report) of KPMG Management Consultancy Inc. dated 16.04.2024 and numbered 202401K12826979, the Company value is; based on the average of discounted cash flow and similar company multiplies methods, it was determined as 244.9 Million TL, which is the midpoint of the value range of 190.0 Million TL and 303.3 Million TL. The transaction price has been determined as 220 Million TL by negotiation, including a 10% discount, based on the midpoint of the company value range determined in the valuation report; a share purchase agreement has been signed for the cash purchase of shares corresponding to 100% of the paid capital of Future Teknoloji Ticaret A.Ş. from Future Star E-Ticaret A.Ş. As of the date of signing the share purchase agreement, Future Teknoloji Ticaret A.Ş. has no financial debts. Due to the fact that the transaction in question could affect the investment decision and share value, it was postponed until there was a concrete development between the parties by the decision of the Board of Directors dated 26.01.2024 and numbered 2024/1, within the scope of Article 6 of the Capital Markets Board's Communiqué on Public Disclosures. | ||||||||
