oda_ExplanationTextBlock| | Kabin içi alan ve ürünlerin tasarımı, üretimi, pazarlaması ve satışı amacıyla kurulan ve THY A.O.'nun ("THY") %30 hissedarı olduğu TCI Kabin İçi Sistemleri Sanayi ve Ticaret A.Ş. ("TCI"), hava araçlarının koltuk dizaynı, üretimi, pazarlaması ve satışı amacıyla kurulan ve THY A.O.'nun %45 hissedarı olduğu Uçak Koltuk Üretim Sanayi ve Ticaret A.Ş. ("TSI") ve hava platformlarında kabin içi eğlence ve internet hizmet sağlayıcı sistemleri tasarımı, üretimi, pazarlaması, satışı ve satış sonrası hizmetleri amacıyla kurulan ve Ortaklığımızın %100 iştiraki THY Teknik A.Ş'nin ("THY Teknik") %80 hissedarı olduğu Cornea Havacılık Sistemleri Sanayi ve Ticaret A.Ş. ("Cornea")'nin uzun süreli stratejik entegrasyonunun sağlanması amacıyla söz konusu şirketlerin tek bir şirket altında birleştirilmesi konusunda ön çalışmalar yürütülmüş ve bu çalışmalar neticesinde Yönetim Kurulumuz;
1. TSI, TCI ve Cornea şirketlerimizin TCI çatısı altında birleştirilmesi, 2. Kibar Holding A.Ş'nin TSI'daki %50 hissesinin THY tarafından satın alınması, 3. Havelsan Hava Elektronik Sanayi ve Ticaret A.Ş'nin Cornea'daki %20 hissesinin THY tarafından satın alınması, kararlarını almıştır. Alınan kararlar neticesinde birleşme ve satın alımlarla ilgili süreçler başlatılmış olup gelişmeler kamuoyu ile paylaşılacaktır. | Our Incorporation had carried out preliminary works to merge together Turkish Cabin Interior Systems Inc. ("TCI"), established in order to design, manufacture, market and sell aircraft cabin interior systems and components, in which 30% of the stakes are held by Turkish Airlines Inc. ("Incorporation"), TSI Aviation Seats Inc. ("TSI"), established in order to design, manufacture, market and sell airline seats, in which 45% of the stakes are owned by Turkish Airlines Inc., and Cornea Aviation Systems Industry and Commerce Inc. ("Cornea"), established in order to design, manufacture, market, sell and post-purchase service of in-flight entertainment systems and internet service, in which 80% of the shares are owned by Turkish Technic Inc, wholly owned by our Incorporation. As a result, our Incorporation decided to; 1. merge TSI, TCI and Cornea together under TCI 2. purchase 50% of TSI stakes, owned by Kibar Holding Inc. 3. purchase 20% of Cornea stakes, owned by Havelsan Hava Elektronik Sanayi ve Ticaret Inc.. To that end, processes related to these merger and acquisitions have been started and further developments will be disclosed to the public. | |||||||
