We announced to the public with our material disclosure dated 14.10.2022 that we have a medium-long-term strategic investment idea to meet some of the energy needs of our Paper Factory, which is being built in Konya Ereğli OIZ.
At the meeting of the Board of Directors of our Company dated 23.05.2023.
- An electricity production facility with an installed capacity of 32 MW was decided to be built within the scope of our medium-long-term strategic investment project to meet some of the energy needs of our Paper Factory, which is being built in Konya Ereğli OIZ and to trade over the national system the electricity left over from use, and in accordance with the provisions stipulated in the Electricity Market License Regulation; to amend Article 3 titled "Purpose and Subject", Article 4 titled "Center", Article 6 titled "Capital", Article 16 titled "Transfer of Shares", Article 18 titled "Amendment of the Articles of Association" of the Company's Articles of Association and also to add Article 21 of the article titled "Provisions on Merger and Division" as in the attached amendment text of the Articles of Association and to change the number of the 21st article titled "Termination and Liquidation of the Company" in the current articles of association to 22,
- Taking into account that, the registered capital ceiling of our company is exceeded for once, with an increase of 210.000.000 TL from internal resources to 262.500.000 TL. in accordance with the provisions of the 6th paragraph of the 6th article of the Registered Capital System Communiqué of the Capital Markets Board No. II-18.1, to increase the current Registered Capital Ceiling of our Company from 200.000.000 TL to 800.000.000 TL and the registered capital ceiling period to be valid for the years 2023-2027 is 5 ( to be extended for a further five) years; in this context, to amend Article 6 of the Company's Articles of Association, titled "Capital",
