Şirketimiz Yönetim Kurulu'nun 23.12.2025 (bugün) tarihli toplantısında; 1) Kocaeli İli, Gebze İlçesi, Balçık Mahallesi, 526 ada 1 parsel üzerinde yer alan 141.007,78 m² yüz ölçümlü "Arsa" nitelikli taşınmazın, Epos Gayrimenkul Danışmanlık ve Değerleme A.Ş.'nin 23.12.2025 tarih ve AFNGY-2025-00002 sayılı Değerleme Raporu ile KDV hariç piyasa değeri 1.671.080.000 TL olarak takdir edilen değerden %17 iskontolu olarak 1.391.247.000 TL bedel üzerinden satın alınmasına ve bedelin tamamının peşin olarak ödenmesine, 2) İşbu hususların ve taşınmaza ilişkin hazırlatılan gayrimenkul değerleme raporunun KAP'ta açıklanmasına karar verilmiş olup, satın alma işlemi 23.12.2025 tarihinde (bugün) gerçekleştirilmiştir. Söz konusu arsadaki değer artışı ve depolama amaçlı geliştirmelere bağlı kira geliri potansiyelinin, Şirketimiz özsermayesi ve karlılığına önemli bir katkı sağlaması beklenmektedir. Kamuoyuna ve yatırımcılarımıza saygıyla duyurulur. İşbu açıklamamızın İngilizce çevirisi ekte yer almakta olup, açıklama metinlerinde herhangi bir farklılık olması durumunda, Türkçe açıklama esas kabul edilecektir. | The previous KAP announcement with the same content inadvertently included the phrase "+VAT," but the transaction was carried out without VAT. This KAP announcement is being republished with the aforementioned phrase corrected. At the meeting of our Company's Board of Directors held on December 23, 2025 (today); 1) The real estate property classified as "Land" with an area of 141,007.78 m², located on parcel 1, block 526, in Balçık Neighborhood, Gebze District, Kocaeli Province, is valued at 1.671,080,000 TL, as determined by Epos Real Estate Consulting and Appraisal Inc. in its Appraisal Report No. AFNGY-2025-00002 dated December 23, 2025, at a price of 1,391,247,000 TL, which is a 17% discount from the market value of 1,671,080,000 TL, and to pay the full amount in advance, 2) It has been decided to disclose these matters and the real estate valuation report prepared for the property on KAP (Public Disclosure Platform). The purchase transaction was completed today, December 23, 2025. The increase in value of the land in question and the potential rental income from developments for storage purposes are expected to make a significant contribution to our Company's equity and profitability.
