oda_ExplanationTextBlock| | Stratejik hedeflerimiz doğrultusunda, ana faaliyet konumuz olan LPG ticareti ve taşımacılığı alanında tedarik zincirimize ilave katma değer yaratılması amacıyla; VLGC (very large gas carrier) boyutunda çift yakıt sistemli bir LPG gemisi satın alınması için Hd Hyundai Samho Co., Ltd. ile bir gemi inşa sözleşmesi imzalanmıştır. Şirketimiz veya Şirketimizin doğrudan veya dolaylı olarak %100 oranında pay sahibi olduğu bir bağlı ortaklığı tarafından satın alınması öngörülen gemi için, taraflarca mutabık kalınan toplam 119.000.000 ABD doları tutarındaki alım bedeli, çoğunluğu 2028 yılının ikinci çeyreğinde öngörülen teslimat öncesinde gerçekleştirilmek üzere taksitler halinde ödenecektir. Gemi alımına yönelik 12 Aralık 2025 tarihinde üretici firma ile imzalanan niyet mektubunun kamuya açıklanması, süreçte bağlayıcı bir karar bulunmadığı da dikkate alınarak müzakere sürecinde şirketimiz menfaatlerinin korunması amacıyla ertelenmiş olup, taraflarca mutabakata varılması ile birlikte erteleme gerekçelerinin ortadan kalkmasını takiben bu özel durum açıklaması yapılmaktadır. Bu açıklamamızın İngilizce çevirisi eş anlı kamuya açıklanmakta olup, açıklama metinlerinde herhangi bir farklılık olması durumunda Türkçe açıklama esas kabul edilecektir. | In line with our strategic objectives, and with the aim of creating additional value in our supply chain in the field of LPG trading and transportation, which is our core area of activity, a shipbuilding contract has been signed with Hd Hyundai Samho Co., Ltd. for the purchase of an VLGC (very large gas carrier) size and dual fuel system LPG vessel. For the vessel, which is planned to be acquired by our Company or by a subsidiary in which our Company directly or indirectly holds a 100% ownership interest, the total purchase price of 119.000.000 US dollars, as agreed by the parties, will be paid in installments, the majority of which are to be made prior to delivery, which is expected in the second quarter of 2028. The public disclosure of the letter of intent signed with the builder on December 12, 2025 regarding the vessel purchase was postponed in order to protect our Company's interests during the negotiation process, taking into account that there was no binding decision at that stage. This material event disclosure is now being made following the elimination of the grounds for postponement upon the parties reaching mutual agreement. This statement has been translated into English and simultaneously announced for informational purposes. In the event of any discrepancy between the Turkish and the English versions, the Turkish version shall prevail. | ||||||||
