oda_ExplanationTextBlock| | Sayın Paydaşlarımız, Kripto varlık teknolojilerine odaklı yatırımlar gerçekleştirmek amacıyla faaliyet gösteren sermayesinin tamamına sahip olduğumuz Ichain Yatırım Holding AŞ ("Ichain"), kripto varlıklar ve merkeziyetsiz finans (DeFi) alanında iş birlikleri ve yatırımlar yapma hedefi doğrultusunda; kuruluş amacı, kripto varlıkların alım satımı, ilk satış ya da dağıtımı, takas, transfer ve bu işlemlere ilişkin saklama hizmetlerinin sunulması olan iştirakimiz Misyon Yatırım Bankası AŞ'nin tamamına sahip olduğu Misyon Finansal Teknolojiler AŞ'nin %100 oranında sahip olduğu Misyon Kripto Varlık Alım Satım Platformu AŞ'nin ("Misyon Kripto") gerçekleştireceği sermaye artırımına iştirak etme kararı aldığı 28.05.2025 tarihli özel durum açıklamamızda kamuoyuna duyurulmuştu. Bu çerçevede, Ichain'in Misyon Kripto'nun gerçekleştireceği sermaye artırımına iştirak etme kararı doğrultusunda artırılan sermayeyi temsil eden toplam 100.000.000 adet paya karşılık gelen 100.000.000 TL Ichain tarafından tescilden önce nakden ödenmiştir. Misyon Kripto'nun sermaye artırımına ilişkin 17.06.2025 tarihli Genel Kurulu 26.06.2025 tarihinde tescil edilmiş olup, ilgili yasal bildirim ve izin süreçlerinin tamamlanmasının ardından Misyon Kripto'daki Ichain'in payı %66,67, Misyon Finansal Teknolojiler AŞ‘nin payı ise %33,33 olmuştur. Gedik Yatırım'ın Misyon Kripto'daki dolaylı toplam pay sahipliği oranı %73,33 olmuştur. Söz konusu işlem, Şirketimizin kripto varlıklar, merkeziyetsiz finans (DeFi) ve blokzincir teknolojileri alanlarında faaliyete başlamasına yönelik adımların bir parçası olarak gerçekleştirilmiştir. Kamuoyunun bilgisine sunar, saygılarımızı arz ederiz. | Dear Stakeholders; Ichain Yatırım Holding AŞ ("Ichain"), a wholly-owned subsidiary of our Company, which operates with the aim of making investments focused on crypto asset technologies, in line with its goal of making collaborations and investments in the field of crypto assets and decentralized finance (DeFi); has decided to participate in the capital increase to be realized by Misyon Kripto Varlık Alım Satım Platformu AŞ ("Misyon Kripto"), which is 100% owned by Misyon Finansal Teknolojiler AŞ, which is wholly owned by our subsidiary Misyon Yatırım Bankası AŞ, whose establishment purpose is to provide trading, initial sale or distribution, clearing, transfer and custody services related to these transactions. It was announced to the public in our material event disclosure dated 28.05.2025. In this context, in line with Ichain's decision to participate in the capital increase to be carried out by Misyon Kripto, a total of 100,000,000 shares representing the increased capital, corresponding to 100,000,000 TL, was paid in cash by Ichain prior to registration. The General Assembly dated 17.06.2025 regarding the capital increase of Misyon Kripto was registered on 26.06.2025, and following the completion of the relevant legal notification and permit processes, Ichain's share in Misyon Kripto became 66.67%, while Misyon Finansal Teknolojiler AŞ's share became 33.33%. Gedik Yatırım's indirect total shareholding rate in Misyon Kripto is 73.33%. The transaction was carried out as part of our Company's steps to start operating in the fields of crypto assets, decentralized finance (DeFi) and blockchain technologies.
