oda_ExplanationTextBlock| | Sampo-Rosenlew Oy Paylarının Satın Alımına İlişkin Pay Alım Sözleşmesi İmzalanması Tera Grup'un yenilikçi, profesyonel ve stratejik vizyonu doğrultusunda; büyüme hedeflerini desteklemek ve geleceğin stratejik sektörlerinde güçlü bir oyuncu konumuna ulaşmak amacıyla teknoloji, sanayi ve enerji gibi alanlarda genişleme hedefi daha önce kamuoyuna duyurulmuştur. Bu hedefler doğrultusunda, Şirketimiz 29.09.2025 (bugün) tarihinde, Finlandiya merkezli tarım ve ormancılık makineleri üreticisi Sampo-Rosenlew Oy'un %100 hisselerinin devralınmasına yönelik olarak, dünyanın en büyük traktör üreticilerinden Mahindra & Mahindra Limited ile hisse alım sözleşmesi imzalamıştır. İşbu satın alma ile Tera Grubu teknoloji alanındaki vizyonunu, finans alanındaki tecrübesi ile birleştirerek tarım sektörüne de aktaracak, önümüzdeki dönemde, yeni nesil, robotik ve/veya yapay zekâ destekli teknolojik tarım üretimine geçilecektir. 1853 yılına kadar uzanan köklü geçmişi ile Sampo-Rosenlew Oy, dünya çapında en büyük tarım makinesi üreticilerinden biri olup, Sampo-Rosenlew Oy aynı zamanda ormancılık ve hasat makineleri, nakliye araçları ile de sektörde önemli bir konuma sahiptir. Finlandiya'nın Pori kentinde yer alan mevcut tesisler, araştırma, geliştirme ve üretim faaliyetlerinde merkezi bir rol üstlenecek ve tarım makineleri alanındaki yenilikçilik kültürünün sürekliliği sağlanacaktır. Tera Grup, Sampo-Rosenlew'ün mühendislik mirasını korurken, aynı zamanda yeni büyüme fırsatlarını hayata geçirmeyi hedeflemektedir. Güçlü finansal yapısından aldığı destekle, şirket Sampo'nun ürün portföyünü genişletmeyi ve yeni nesil, insansız, ileri teknolojiye dayalı, yapay zekâ destekli çözümler aracılığıyla küresel rekabet gücünü önemli ölçüde artırmayı, teknolojik tarım alanında dünya çapında en önemli oyunculardan biri olmayı planlamaktadır. Pursuant to these objectives, on September 29, 2025 (today), Tera Yatırım Teknoloji Holding A.Ş. signed a share purchase agreement with Mahindra & Mahindra Limited, one of the world's largest tractor manufacturers, to acquire 100% of the shares of Finland-based agricultural and forestry machinery manufacturer Sampo-Rosenlew Oy. Through this acquisition, Tera Group aims to combine its technological vision with its financial expertise and extend its impact into the agricultural sector, paving the way for next-generation, robotic and/or AI-supported precision farming solutions. With a distinguished heritage dating back to 1853, Sampo-Rosenlew Oy is recognized as one of the leading global agricultural machinery manufacturers and also holds a significant position in forestry machinery and harvesting equipment, as well as transportation vehicles. The existing facilities in Pori, Finland, will serve as a central hub for research, development, and production activities, ensuring the continuity of the company's culture of innovation in agricultural machinery. Tera Group intends not only to preserve Sampo-Rosenlew's engineering legacy but also to unlock new growth opportunities.
