Şirketimiz stratejik hedefleri doğrultusunda, Romanya'da kurulu ve hijyenik kağıt ürünleri sektöründe faaliyet gösteren bir Şirketin sermayesini temsil eden paylarının bir kısmının ya da tamamının yapılacak finansal, hukuki ve vergisel durum tespiti çalışmaları ve ilgili çalışmalar olumlu sonuçlanır ise, satın alınması ya da muhtelif işbirliklerinin değerlendirilmesi amacıyla, anılan Şirket ile tarafları bağlayıcı bir niyet mektubu imzalanarak müzakerelere başlanılmasına karar verilmiş olup, niyet mektubu 14.10.2025 tarihinde (bugün) taraflarca karşılıklı olarak imzalanmıştır. Gelişmeler tam ve zamanında kamuya açıklanacaktır.

Kamuya açıklama yapılmasının hem yatırımcıları yanıltabileceği hem de Şirketimizin pazarlık gücünü, faaliyetlerini rekabet açısından da olumsuz yönde etkileyebileceği değerlendirilerek taraflar arasında bağlayıcı bir niyet mektubu imzalanıncaya kadar gerekli gizlilik önlemleri alınmak suretiyle bilginin açıklanması 23.07.2025 tarihli ve 763 sayılı Yönetim Kurulu kararı ile ertelenmiştir.

In line with our Company's strategic objectives, a binding letter of intent (LoI) has been signed on October 14, 2025 (today), with a Company established in Romania, operating in the hygienic paper products sector with the purpose of initiating negotiations for the potential acquisition of all or part of the shares representing its capital, or to evaluate potential cooperation opportunities, conditional upon the positive outcome of the relevant financial, legal, and tax due diligence work. Related developments will be disclosed to the public fully and in a timely manner.

As the early public disclosure of this information could mislead investors and adversely affect our Company's bargaining power and competitive position, the disclosure of this announcement was postponed until the signing of a binding LoI between the parties, as per the Board of Directors' resolution n763 and dated July 23, 2025.
