oda_ExplanationTextBlock| | Şirketimiz ile Best Grup Savunma Sanayi Ticaret Anonim Şirketi'nin ("Best Grup") toplam 100.000.000 TL tutarındaki ödenmiş sermayesinin %70'ini temsil eden 2.800.000 adet payın Şirketimize devrine ilişkin bugün (19.12.2025) Pay Alım Satım Sözleşmesi akdedilmiştir. Pay devrinin işleme ilişkin gerekli izin ve onayların alınmasını takiben tamamlanması hedeflenmektedir. Best Grup Savunma, 2010 yılından bu yana savunma ve güvenlik sanayinde faaliyet gösteren, mühendislik odaklı çözümler geliştiren bir savunma sanayii şirketidir. Şirket; zırhlı araçlar, silah sistemleri, uzaktan kumandalı iş makineleri, insansız kara araçları, gizli zırhlama çözümleri ve entegre tesis güvenlik sistemleri gibi geniş ürün ve hizmet yelpazesiyle son kullanıcı ihtiyaçlarına yanıt vermektedir. Best Grup Savunma, sahip olduğu Ar-Ge yetkinliği, proje ve süreç yönetimi deneyimi ile savunma sanayiine maliyet etkin ve rekabetçi çözümler sunmakta, ihracat ve ortak üretim modelleriyle yurt içi ve yurt dışı pazarlarda faaliyet göstermektedir. Bu kapsamda, Şirketimiz tarafından gerçekleştirilecek pay devri işleminin tamamlanmasını takiben Best Grup'un faaliyet alanlarının ve iş birliklerinin Şirketimizin konsolide yapısı içerisinde daha da güçlendirilmesi hedeflenmektedir. Tasarruf sahiplerinin ve kamuoyunun bilgisine saygıyla duyurulur. | A Share Purchase Agreement was executed today (19.12.2025) between our Company and Best Grup Savunma Sanayi Ticaret Anonim Şirketi ("Best Grup") for the transfer to our Company of 2,800,000 shares, representing 70% of its paid-in capital amounting to TRY 100,000,000 in total. The share transfer is expected to be completed following the receipt of all required regulatory consents and approvals. Best Grup Savunma is a defence industry company that has been operating in the defence and security sector since 2010, developing engineering-driven solutions. The Company addresses end-user needs through a broad portfolio of products and services, including armored vehicles, weapon systems, remotely controlled construction equipment, unmanned ground vehicles, covert armoring solutions, and integrated facility security systems. Leveraging its R&D capabilities as well as its project and process management expertise, Best Grup Savunma delivers cost-efficient and competitive solutions to the defence sector, and operates in domestic and international markets through export-driven and co-production models. Following the completion of the share transfer transaction to be carried out by our Company, it is intended that Best Grup's business lines and cooperation opportunities will be further strengthened within our consolidated structure.
