Şirketimiz tarafından, Sermaye Piyasası Kurulu'nun ("SPK") II-17.1 sayılı Kurumsal Yönetim Tebliği ("Tebliğ") çerçevesinde yönetim kurulu bağımsız üye adayları olarak belirlenen Sayın Zerrin ÇAVUŞOĞLU, Sayın Derya KARA ve Sayın Burçin BUDAKOĞLU'nun adaylıkları, Tebliğ ekinde yer alan Kurumsal Yönetim İlkeleri'nin 4.3.7 numaralı maddesi uyarınca SPK'nın görüşüne sunulmuştur.

Söz konusu başvuru, SPK'nın 23.01.2026 tarih ve 4/155 sayılı toplantısında görüşülmüş olup; adı geçen bağımsız üye adaylarının Kurumsal Yönetim İlkeleri'nin 4.3.6 numaralı maddesinde yer verilen şartları taşıdıklarına ilişkin bağımsızlık beyanları ve özgeçmişleri dikkate alınarak, anılan yönetim kurulu bağımsız üye adayları hakkında herhangi bir olumsuz görüş bildirilmemesine karar verildiği Şirketimize bildirilmiştir.

Kamuoyuna saygıyla duyurulur.

İşbu açıklamamızın İngilizce çevirisi ekte yer almakta olup, açıklama metinlerinde herhangi bir farklılık olması durumunda, Türkçe açıklama esas kabul edilecektir.

Our Company has submitted the nominations of Ms. Zerrin ÇAVUŞOĞLU, Ms. Derya KARA and Ms. Burçin BUDAKOĞLU, who have been designated as independent board member candidates within the framework of the Capital Markets Board ("CMB") Communiqué on Corporate Governance (II-17.1) ("Communiqué"), to the opinion of the CMB pursuant to Article 4.3.7 of the Corporate Governance Principles annexed to the Communiqué.

The said application was discussed at the CMB's meeting dated 23.01.2026 and numbered 4/155. Taking into consideration the independence declarations and résumés of the aforementioned independent board member candidates, confirming that they meet the criteria set forth in Article 4.3.6 of the Corporate Governance Principles, it has been resolved not to express any adverse opinion regarding the said independent board member candidates, and this decision has been notified to our Company.
