Şirketimiz yönetim kurulunun bugün (31.03.2026) aldığı karar uyarınca Şirketimizin bağlı ortaklığı Tera Turizm ve Ticaret A.Ş.'nin, %100 oranında pay sahibi olduğu bağlı ortaklığı DLT Turizm ve Ticaret A.Ş.'nin sermayesinin %49'unu temsil eden toplam 10.165.050 adet payın, Tera Grubu şirketlerinden Tera Girişim Sermayesi Yatırım Ortaklığı A.Ş.'ye devredilmesine ilişkin pay devir sözleşmesi akdedilmesine ve payların devrine karar verilmiştir.

Bu kapsamda söz konusu payların devrine ilişkin pay alım satım sözleşmesi bugün (31.03.2026) imzalanmış ve pay devri tamamlanmıştır.

Kamuoyuna saygıyla duyurulur.

Pursuant to the resolution of our Board of Directors dated today (31 March 2026), it has been resolved to execute a share transfer agreement for the transfer of a total of 10,165,050 shares, representing 49% of the share capital of DLT Turizm ve Ticaret A.Ş., a wholly-owned subsidiary of Tera Turizm ve Ticaret A.Ş., which is a subsidiary of our Company, to Tera Girişim Sermayesi Yatırım Ortaklığı A.Ş., a company within the Tera Group, and to complete the transfer of such shares.

In this context, the share purchase and sale agreement regarding the transfer of the aforementioned shares has been signed today (31 March 2026), and the share transfer has been completed.

In case of any discrepancy between the Turkish and English versions, the Turkish version shall prevail.
