At the meeting of the Board of Directors of our Company held on June 15, 2026, the following resolutions were adopted:
1. To increase the Company's issued capital from TRY 125,000,000 (One Hundred Twenty-Five Million Turkish Lira) to TRY 1,312,500,000 (One Billion Three Hundred Twelve Million Five Hundred Thousand Turkish Lira), within the registered capital ceiling of TRY 10,000,000,000 (Ten Billion Turkish Lira), by increasing the capital by TRY 1,187,500,000 (One Billion One Hundred Eighty-Seven Million Five Hundred Thousand Turkish Lira), corresponding to a 950% bonus issue, to be fully covered from internal resources;
2. To fund the aforementioned capital increase through:
* TRY 718,175,007.16 from Share Premium,
* TRY 207,591,716.74 from Equity Inflation Adjustment Differences,
* TRY 57,488,919.96 from Other Capital Reserves, and
* TRY 204,244,356.14 from Retained Earnings;
3. To distribute, free of charge, the shares with a nominal value of TRY 1,187,500,000 to be issued in connection with the capital increase to the existing shareholders in proportion to their shareholdings in the Company's capital, in accordance with the dematerialized system regulations of the Capital Markets Law, and to apply to the Central Securities Depository of Türkiye (Merkezi Kayıt Kuruluşu A.Ş. - MKK) for the registration of such shares in the accounts of the beneficiaries;
4. To make the necessary disclosures on the Public Disclosure Platform (KAP) in accordance with the applicable legislation;
5. To authorize the persons empowered to represent the Company pursuant to the Company's signature circular to prepare, execute, sign, submit, follow up and finalize all applications, correspondence, documents and information to be filed with all relevant public authorities and institutions, including but not limited to the Capital Markets Board of Türkiye (CMB), Merkezi Kayıt Kuruluşu A.Ş. (MKK), Borsa İstanbul A.Ş., the Ministry of Trade of the Republic of Türkiye and the Istanbul Trade Registry Office, in relation to the bonus capital increase from internal resources and the approval of the issuance certificate regarding the shares to be issued in connection with the capital increase;
6. To apply to the Capital Markets Board of Türkiye for its approval regarding the amendment to Article 6 titled "Capital" of the Company's Articles of Association, following the approval by the Capital Markets Board and the completion of the capital increase process.
The above resolutions were adopted unanimously by the members present.
