Şirketimiz Yönetim Kurulu'nun gerçekleştirdiği toplantısında, Sermaye Piyasası Kurulu'nun (SPK) II-17.1 sayılı Kurumsal Yönetim Tebliği kapsamında, Şirketimizin ilişkili tarafları ile Şirketimiz arasındaki "Yaygın ve Süreklilik Arz Eden İşlemlere İlişkin Rapor" hazırlanarak onaylanmıştır.

Raporun sonuç kısmı;

SPK'nın II-17.1 sayılı Kurumsal Yönetim Tebliği'nin 10. maddesi uyarınca yapılan değerlendirmeye göre, Şirketimizin SPK mevzuatı çerçevesinde Türkiye Muhasebe Standardı'na (TMS 24) göre ilişkili taraf olarak tanımlanan 3T Piping Industries S.A., Al-Shamal Chem and Polymers SA ve 3T Prime Dış Ticaret A.Ş. ile yaygın ve süreklilik arz eden hammadde ve mamul alış/satış işlemlerinin, 2026 hesap dönemi içerisinde kamuya açıklanan son yıllık finansal tablolarda yer alan hasılat ve satılan malın maliyeti tutarının %10'unu aşması öngörülmektedir.

Rapor tarihi itibarıyla, 3T Piping Industries S.A, Al Shamal Chem and Polymers S.A ve 3T Prime Dış Ticaret A.Ş. ile gerçekleştirilen işlemlerin piyasa koşullarına uygun olduğu sonucuna ulaşılmıştır.

At the meeting held by the Board of Directors of our Company, a "Report on Widespread and Continuous Transactions" between the related parties of our Company and our Company was prepared and approved within the scope of Dec. II-17.1 Corporate Governance Communiqué of the Capital Markets Board (CMB).

Conclusion of the Report:

Based on the assessment conducted pursuant to Article 10 of the CMB Corporate Governance Communiqué No. II-17.1, it is anticipated that the common and continuous raw material and finished goods purchase/sale transactions between our Company and its related parties, defined as such under the Turkish Accounting Standards (TAS 24) within the framework of CMB regulations, namely 3T Piping Industries S.A., 3T Prime Dış Ticaret A.Ş., and Al-Shamal Chem and Polymers S.A., will exceed 10% of the revenue and cost of goods sold amounts stated in the most recently disclosed annual financial statements during the 2026 fiscal year.

As of the date of the report, it has been concluded that the transactions conducted with 3T Piping Industries S.A., Al-Shamal Chem and Polymers S.A., and 3T Prime Dış Ticaret A.Ş. are in compliance with market conditions.
