Additional Explanations

Pursuant to the Board of Directors' Resolution dated 2 July 2026, taking into consideration that the Company's financial statements prepared in accordance with the Capital Markets legislation reflect a net loss for the 2025 fiscal year, while the statutory records maintained in accordance with the provisions of the Tax Procedure Law reflect a net profit for the same period, it has been resolved to submit for the approval of the General Assembly at the Company's Ordinary General Assembly Meeting planned to be held on 29 July 2026 the proposal not to distribute the distributable net profit for 2025 recorded in the statutory records, in line with the Company's growth-oriented strategies and its planned domestic and international investment policies, as set out in the attached Profit Distribution Table.

The Partnership's net loss for the period amounted to TRY -1,942,836,372 (TRY -1,646,492,181 - TRY 296,344,191).
