Additional Explanations

Yönetim Kurulumuzun bugünkü toplantısında;

Türk Ticaret Kanunu ("TTK"), Sermaye Piyasası Mevzuatı ve Sermaye Piyasası Kurulu ("SPK") Düzenlemeleri, ilgili Yasal Mevzuat Hükümleri ile Şirketimizin Esas Sözleşmesi'nin ilgili hükümleri dikkate alınarak aşağıdaki kararlar alınmıştır.

TFRS'ye uygun olarak hazırlanan finansal tablolara göre 90.396.062,00TL ana ortaklığa ait net dönem karı, VUK kayıtlarına göre ise 94.483.315,91TL cari yıl karı bulunduğu görülerek;

a) Türk Ticaret Kanunu'nun 519. maddesi uyarınca 4.724.165,80TL kanuni yedek akçenin ayrılmasına,

b) Sermaye Piyasası Mevzuatı ile Şirketimiz Kâr Dağıtım Politikası çerçevesinde, küresel ve ulusal piyasalardaki belirsizlikler ile finansmana erişim imkânları, Şirketimizin özkaynak yapısı ve nakit durumu dikkate alınarak, çıkarılmış sermayenin %30'una tekabül eden 4.500.000,00 TL brüt nakit kâr payının birinci kâr payı olarak dağıtılmasına,

c) Hissedarlara toplam brüt 4.500.000,00 TL, net 3.825.000,00 TL nakit kâr payı dağıtılmasına,

d) 1,00 TL nominal değerli her bir pay için brüt 0,30 TL (%30,00), net 0,255 TL (%25,50) nakit kâr payı dağıtılmasına,

e) Yukarıda belirtilen esaslar çerçevesinde gerçekleştirilecek kâr payı dağıtımının 25.08.2026 tarihine kadar tamamlanması hususunun Olağan Genel Kurul'un onayına sunulmasına.

Katılanların oy birliğiyle karar verilmiştir.
