Within the scope of the efforts being carried out to ensure that our Company continues its operations uninterruptedly and sustainably, and to restructure its financial obligations under suitable terms, it has become necessary to make the following disclosure.
The fluctuations created by the economic conditions affecting our sector and our Company, in both product and cost items, combined with the increase in financing costs, had led to the temporary closure of our factory in Konya Ereğli Organized Industrial Zone before its energy investment was completed. Bureaucratic delays experienced during the Paper Factory investment process caused the investment cost to reach approximately 200 million Euros and created an additional financing burden. In addition, the financing pressure created by bank loans shifting toward short-term maturities, along with delays in the collection of trade receivables from our key customers, led to temporary deteriorations in our Company's cash flow and created periodic difficulties in meeting short-term obligations.
In the efforts carried out for our Company's main shareholders to provide interest-free resources to the Company through the sale of shares, aimed at strengthening the financial structure, the collection of share transfer proceeds could not be completed within the planned schedule due to market conditions and investor demand not materializing at the expected level.
As a result of these developments, in order to preserve our Company's production capacity, assets, and operational integrity; to ensure the uninterrupted continuation of production and commercial activities; to establish a predictable and sustainable payment plan in line with the principle of equality among creditors; to restructure existing debts by extending them over reasonable maturities; and to protect the interests of our Company along with its shareholders, investors, employees, and creditors, a composition (concordato) request has been filed under Articles 285 et seq. of the Execution and Bankruptcy Law.
By the decision of the İzmir 1st Civil Court of First Instance (Asliye Ticaret Mahkemesi) dated 30/07/2026 and numbered 2026/810 Esas, a temporary moratorium of three months has been granted to our Company effective from 30/07/2026, the necessary protective measures are to be applied, and Sworn-in Certified Public Accountant (YMM) İbrahim Sadi ERK has been appointed as the temporary composition commissioner.
Despite the temporary halt at our paper factory, our packaging facilities operating in İzmir, Gaziantep, and Karaman continue their production, and our Company's core operations continue uninterrupted. These facilities continue to operate profitably and continue to support our Company's cash-generation capacity.
During the temporary moratorium period, it is planned that our Company's ordinary production and commercial activities will continue in accordance with the court's decisions and under the oversight and guidance of the composition commissioners. During this process, negotiations will be conducted with all creditors—particularly financial institutions—with the aim of restructuring our Company's existing debts, aligning maturities with our operating cycle and cash-generation capacity, and putting the payment plan on a sustainable footing. During this period, negotiations are also planned for the sale of the paper factory.
The composition (concordato) application is not aimed at halting our Company's operations; rather, it is a legal restructuring process aimed at preserving existing production capacity, restructuring financial obligations, and protecting the rights of shareholders and all stakeholders. Our Company's goal is to successfully complete the ongoing financial and operational restructuring efforts, exit the composition process as soon as possible, and continue its operations with a strengthened financial structure.
The composition process will be carried out transparently and in compliance with applicable legislation, in line with the decisions, oversight, and guidance of the court and the composition commissioners. Any developments arising during the process that could affect investors' decisions will be publicly disclosed in a timely manner within the framework of capital markets legislation.
