İlgi: Sermaye Piyasası Kurulu'nun İMKB'de duyurulan 21.12.2005 tarihli yazısı ile Bankamıza hitaben yazılan 22.12.2005 tarihli yazısı.

İlgi'de kayıtlı yazılar ile SPK tarafından her mali tablo döneminde gelişmelere ilişkin açıklama yapılması talep edilmiş olup, bu kapsamda açıklamalarımız aşağıdadır.

- Müflis Eksan İnşaat Ticaret ve Sanayi A.Ş. İflas Masası İdare Memurluğu tarafından İstanbul 7. Asliye Ticaret Mahkemesinin 2005/210 esas sayılı dosyası ile açılan, İstanbul 11.Asliye Ticaret Mahkemesinin 2024/221 E. sayılı dosyası devam edilen davada; 1.125.018,42 TL'nin 03.04.2006 tarihinden itibaren işleyecek TCMB avans faizi ile birlikte Bankamızdan tahsili ile davacıya verilmesine ilişkin 15.01.2026 tarihli 2026/34 sayılı Karar, taraflarca temyiz edilmiş olup, sonucu beklenmektedir.

- Yapı Kredi Vakfı (Yapı ve Kredi Bankası A.Ş. Mensupları Yardım ve Emekli Sandığı Vakfı) ile ilgili olarak açıklanması gereken herhangi bir gelişme yoktur.

İşbu açıklamamızın İngilizce çevirisi eş anlı kamuya açıklanmış olup, açıklama metinlerinde herhangi bir farklılık olması durumunda Türkçe açıklama esas kabul edilecektir.

Ref: Capital Markets Board's (CMB) letter dated 21.12.2005 that is announced in Istanbul Stock Exchange (IMKB) and CMB's letter to our Bank dated 22.12.2005.

Within the framework of the referenced letters, CMB requested disclosure of developments in each period of financial statements, our explanations in this context are as follows.

- In the lawsuit filed by the Bankruptcy Estate Administration Office by bankrupt Eksan İnşaat Ticaret ve Sanayi A.Ş. before the Istanbul 7th Commercial Court of First Instance under the file no. 2005/210, and currently pending before the Istanbul 11th Commercial Court of First Instance under the file no. 2024/211 E., the judgement dated 15.01.2026 and numbered 2026/34, ordering the collection from our Bank and payment to the Plaintiff of TRY 1,125,018.42 together with the Central Bank of Türkiye advance interest accruing thereon from 03.04.2006, has been appealed to by the parties and is currently awaiting outcome.

- There is nothing to disclose regarding Yapı Kredi Foundation (Yapı ve Kredi Bankası A.Ş. Mensupları Yardım ve Emekli Sandığı Vakfı).
