TCC Group Holdings Co., Ltd. tarafından yapılan açıklama kapsamında; TCC çatısı altında kurulması ve Türkiye, Avrupa ve Afrika'daki çimento, beton ve yapı malzemeleri faaliyetlerini bir araya getirmesi planlanan Cimpor International Holdings'in ("Cimpor International"), yurt dışı borsalarda işlem görmesine yönelik sürecin başlatılmasının planlandığı kamuoyuna duyurulmuştur.

Bu yapı içerisinde OYAK Çimento; Türkiye'deki güçlü üretim kapasitesi, yaygın tesis ve dağıtım ağı, operasyonel yetkinliği ve finansal gücü ile Cimpor International'ın temel endüstriyel ve operasyonel platformlarından biri olarak konumlanmaktadır.

Planlanan stratejik yapılanma ile Cimpor International bünyesindeki farklı coğrafya, ürün ve faaliyetlerin tek bir uluslararası platform altında bir araya getirilmesi; Cimpor International'ın uluslararası sermaye piyasalarındaki görünürlüğünün artırılması, yatırımcı tabanının genişletilmesi, düşük karbonlu büyüme stratejisinin hızlandırılması ve uzun vadeli sürdürülebilir büyümenin desteklenmesi amaçlanmaktadır. Bu amaç doğrultusunda; karbon ayak izinin ve CO₂ emisyon yoğunluğunun azaltılması için düşük karbonlu çimento ve bağlayıcı ürünlerin geliştirilmesi, kalsine kil ve diğer düşük karbonlu mineral katkıların kullanımının artırılması ve alternatif yakıt kullanım oranlarının yükseltilmesi temel öncelikler arasında yer almaktadır.

Söz konusu planlama kapsamında, OYAK Çimento Fabrikaları A.Ş.'nin mevcut faaliyetlerinde, yönetiminde ve Borsa İstanbul A.Ş.'de işlem görme statüsünde herhangi bir değişiklik bulunmamaktadır.

OYAK Çimento, mevcut faaliyetlerine ve Türkiye'deki büyüme stratejisine devam ederken, bölgesel liderlik vizyonu doğrultusunda büyüme ve gelişimini sürdürerek Cimpor International'ın uluslararası büyüme, sürdürülebilirlik ve karbonsuzlaşma stratejisi içerisindeki önemli rolünü daha da güçlendirmeye devam edecektir.

Konuya ilişkin olarak Şirketimizi etkileyebilecek ve sermaye piyasası mevzuatı kapsamında kamuya açıklanması gereken gelişmeler olması halinde, gerekli bilgilendirmeler zamanında kamuoyu ile paylaşılacaktır.

Within the scope of the announcement made by TCC Group Holdings Co., Ltd., it has been announced to the public that Cimpor International Holdings ("Cimpor International"), which is planned to be established under the TCC umbrella and to bring together the cement and concrete building materials operations in Türkiye, Europe and Africa, intends to initiate a process towards a listing on an overseas stock exchange.

Within this structure, OYAK Cement is positioned as a core industrial and operational platform of Cimpor International, supported by its strong production capacity in Türkiye, extensive plant and distribution network, operational capabilities and financial strength.

The planned strategic structure aims to bring together the different geographies, products and activities within Cimpor International under a single international platform, enhance the Cimpor International's visibility in international capital markets, broaden its investor base, accelerate its low-carbon growth strategy and support long-term sustainable growth. Regarding these objectives, key priorities include the development of low-carbon cement and binder products to reduce the carbon footprint and CO₂ emissions intensity, increasing the use of calcined clay and other low-carbon mineral additions and increasing the use of alternative fuels.

Within the scope of the contemplated structure, there is no change to the existing operations or management of OYAK Cement Factories Inc. ("OYAK Cement"), or to the status of its shares being traded on Borsa İstanbul A.Ş.

While continuing its existing operations and growth strategy in Türkiye, OYAK Cement will continue its growth and development in line with its regional leadership vision, thereby further strengthening its important role within Cimpor International's international growth, sustainability and decarbonization strategy.

Should any developments arise in relation to this matter that may affect our Company and require public disclosure pursuant to applicable capital markets legislation, the necessary disclosures will be made to the public in a timely manner.
