SUBJECT: Board of Directors' Resolution on the Approval of Financial Statements

The consolidated Financial Statements and the Board of Directors' Interim Activity Report, prepared by the Company management in accordance with the Capital Markets Board of Türkiye's ("CMB") Communiqué No. II-14.1 on the Principles of Financial Reporting in Capital Markets (the "Communiqué"), the CMB's Principle Decision dated 28 December 2023 regarding the application of inflation accounting, and Turkish Accounting Standards/Turkish Financial Reporting Standards, and in compliance with the formats prescribed by the CMB, comprising the consolidated statement of financial position as of 30 June 2026, the consolidated statement of profit or loss and other comprehensive income, the consolidated statement of changes in equity and the consolidated statement of cash flows for the period ended on the same date, together with the notes to the consolidated financial statements, including a summary of significant accounting policies, covering the period from 1 January 2026 to 30 June 2026, as attached hereto;

It has been unanimously resolved by the attendees that:

We have reviewed the Financial Statements and the Board of Directors' Interim Activity Report;

To the best of our knowledge within the scope of our duties and responsibilities at the Company, the Financial Statements and the Interim Activity Report do not contain any untrue statement on material matters or any omission that may result in such statements being misleading as of the date on which they were made;

To the best of our knowledge within the scope of our duties and responsibilities at the Company, the Financial Statements, prepared in accordance with the financial reporting standards applicable for the relevant period, fairly reflect the Company's assets, financial position and profit or loss, and the Interim Activity Report fairly reflects the development and performance of the business and the financial position of the Company, together with the significant risks and uncertainties it faces.

The resolution was adopted unanimously by the attendees.

KARAR KONUSU : Mali Tabloların Kabulüne İlişkin Yönetim Kurulu Kararı

Şirket yönetimi tarafından, Sermaye Piyasası Kurulu'nun (SPK) II-14.1. "Sermaye Piyasasında Finansal Raporlamaya İlişkin Esaslar Tebliği" (Tebliğ), SPK'nın 28.12.2023 tarihli enflasyon muhasebesi uygulamasına ilişkin İlke Kararı ve Türkiye Muhasebe Standartları/Türkiye Finansal Raporlama Standartları uyarınca hazırlanan, SPK tarafından belirlenmiş formlar ile uyumlu olan ve ekte sunulan 01.01.2026-30.06.2026 tarihli konsolide finansal durum tablosu ile aynı tarihte sona eren hesap dönemine ait; konsolide kâr veya zarar ve diğer kapsamlı gelir tablosu, konsolide özkaynaklar değişim tablosu ve konsolide nakit akış tablosu ile önemli muhasebe politikalarının özeti de dahil olmak üzere konsolide finansal tablo dipnotlarından oluşan konsolide Finansal Tabloların ve Yönetim Kurulu Faaliyet Raporunun

-Tarafımızdan incelendiğini;

- Şirketimizin görev ve sorumluluk alanında sahip olduğumuz bilgiler çerçevesinde, Finansal Tabloların ve Faaliyet Raporunun önemli konularda gerçeğe aykırı bir açıklama veya açıklamanın yapıldığı tarih itibariyle yanıltıcı olması sonucunu doğurabilecek herhangi bir eksiklik içermediğini,

- Şirketimizdeki görev ve sorumluluk alanımızda sahip olduğumuz bilgiler çerçevesinde, ilişkin olduğu dönem itibariyle yürürlükteki finansal raporlama standartlarına göre hazırlanmış Finansal Tabloların, işletmenin aktifleri, finansal durum ve kar ve zararı ile ilgili gerçeği dürüst bir biçimde yansıttığını ve faaliyet raporunun işin gelişimi ve performansını ve işletmenin finansal durumunu ve karşı karşıya olduğu önemli risk ve belirsizliklerle birlikte dürüstçe yansıttığını,

Katılanların oybirliği ile karar verilmiştir.
