Şirketimiz ortaklarından Efor Holding A.Ş. (Efor Holding) tarafından kamuya duyurulmak üzere aşağıdaki bilgilendirme tarafımıza iletilmiştir:

Halihazırda Şirketimiz Efor Yatırım Sanayi Ticaret A.Ş. ("EFOR") sermayesinin %8,48'ine karşılık gelen payların sahibi olan Efor Holding A.Ş., yurt dışında yerleşik kurumsal bir yatırımcı ("Yabancı Yatırımcı") ile pay alım anlaşması ("Anlaşma") imzalamıştır.

Anlaşma kapsamında Efor Holding, Yabancı Yatırımcı'dan yaklaşık 93 milyon adet EFOR payını satın almayı, Yabancı Yatırımcı ise söz konusu payları Efor Holding'e satmayı taahhüt etmiştir. İşlemin takası Eylül 2026'da Borsa İstanbul dışında gerçekleştirileşmesi öngörülmektedir. Pay başına devir fiyatı ve buna bağlı olarak toplam devir bedeli ile Efor Holding'in Şirketimiz Efor Yatırım'da doğrudan ve dolaylı toplam hissedarlık oranı, Anlaşma'da öngörülen fiyatlama mekanizması çerçevesinde takas tarihinde kesinleşecek olup, söz konusu bilgilerin kesinleşmesini ve takas işleminin tamamlanmasını takiben işleme ilişkin nihai bilgiler kamuya açıklanacaktır.

İşbu açıklamamız ile açıklamamızın İngilizce çevirisi arasında herhangi bir farklılık olması durumunda, Türkçe açıklama esas alınacaktır.

The following information has been submitted to our Company by our shareholder Efor Holding A.Ş. (Efor Holding) for public disclosure:

Efor Holding A.Ş., which currently holds shares corresponding to 8.48% of the capital of our Company, Efor Yatırım Sanayi Ticaret A.Ş. ("EFOR"), has entered into a share purchase agreement (the "Agreement") with a foreign institutional investor (the "Foreign Investor").

Under the Agreement, Efor Holding has committed to purchase approximately 93 million EFOR shares from the Foreign Investor, and the Foreign Investor has committed to sell such shares to Efor Holding. The settlement of the transaction is expected to take place outside Borsa İstanbul in September 2026. The transfer price per share and, accordingly, the total transfer consideration, as well as Efor Holding's total direct and indirect shareholding in our Company EFOR, will be finalized on the settlement date in accordance with the pricing mechanism set forth in the Agreement, and the final details of the transaction will be publicly disclosed following the finalization of such information and the completion of the settlement.

In case of any discrepancy between this disclosure and its English translation, the Turkish version shall prevail.
