Şirketimizin faaliyetlerinin stratejik öncelikleri doğrultusunda yürütülen organizasyonel değerlendirmeler neticesinde, Doğal Kağıt Hammaddeleri Sanayi ve Ticaret Limited Şirketi'nin işletmesinin bulunduğu lokasyon, operasyonun boyutu ve ana faaliyet konusu itibarıyla ana üretim kollarına katkısının sınırlı olması ve mevcut üretim şekliyle ticari faaliyetlerin sürdürülmesinden elde edilecek uzun vadeli ekonomik faydanın Şirketimizin stratejik hedeflerine ulaşmasında oldukça sınırlı kalmasından kaynaklanmaktadır

As a result of the organizational assessments conducted in line with the strategic priorities of our Company, the contribution of Doğal Kağıt Hammaddeleri Sanayi ve Ticaret Limited Şirketi to our principal production lines is limited, considering the location of its operations, the scale of its operations and its principal business activity. Furthermore, the long-term economic benefit to be derived from continuing its commercial activities in their current form is expected to remain quite limited in terms of achieving our Company's strategic objectives

Şirket'in faaliyetlerinin stratejik öncelikleri doğrultusunda yürütülen organizasyonel değerlendirmeler neticesinde, Şirket'in %100 oranında pay sahibi olduğu bağlı ortaklığımız Doğal Kağıt Hammaddeleri Sanayi ve Ticaret Limited Şirketi'nin ("Doğal Kağıt") işletmesinin bulunduğu lokasyonun mevcut durumda yürütmekte olduğu operasyonun boyutu ve ana faaliyet konusu itibariyle Şirketimizin ana üretim kollarına katkısının sınırlı olması ve mevcut üretim şekliyle ticari faaliyetlerin sürdürülmesinden elde edilecek uzun vadeli ekonomik faydanın Şirketimizin stratejik hedeflerine ulaşmasında etkisinin olukça sınırlı olması göz önünde bulundurularak, Şirketimizin temel faaliyet alanları arasında yer almayan Doğal Kağıt işletmesinin faaliyetinin yeniden yapılandırılması ihtiyacının ortaya çıktığı ve buna bağlı olarak iş gücü ihtiyacının ortadan kalktığı hususları değerlendirilmiştir.

Yönetim Kurulu'nun 28.08.2026 tarihli toplantısında, yapılan inceleme ve değerlendirmeler sonucunda, Doğal Kağıt'ın ticari ve operasyonel faaliyetlerne 28.09.2026 tarihi itibarıyla kesin ve devamlı surette son verilmesine karar verilmiştir. Bu süreç kapsamında, Doğal Kağıt bünyesinde görev yapan çalışanların Şirketimizin başka işyerlerinde görevlendirilmelerinin mümkün olmaması halinde, ilgili çalışanların iş sözleşmelerinin İş Kanunu madde 17 hükümleri uyarınca tazminatları, hak ve alacakları ödenerek sonlandırılması planlanmaktadır.

Doğal Kağıt, faaliyetlerinin sona erdirilmesi planlanan tarihe kadar müşterilerine ve tedarikçilerine hizmet vermeye devam edecektir.

Bu süreçte yetkili kamu kurum ve kuruluşlarına gerekli bildirimler süresi içerisinde yapılacaktır.

İş sözleşmelerinin sona erdirilmesi nedeniyle yapılacak toplam ödeme tutarı henüz kesinleşmemiş olup, söz konusu tutarın Şirketimizin finansal durumu ve faaliyet sonuçları üzerinde önemli bir etki meydana getireceğinin anlaşılması hâlinde kamuoyuna ayrıca açıklama yapılacaktır.

Doğal Kağıt nezdinde gerçekleşen bahis konusu işlemler, Şirketimizin faaliyetlerinde ve finansal yapısında önemli bir değişikliğe ve etkiye sebep olmayacaktır.

Konuya ilişkin önemli gelişmeler kamuoyu ve yatırımcılarımızla paylaşılacaktır.

As a result of the organizational assessments conducted in line with the Company's strategic priorities, the Company has evaluated the need to restructure the operations of its wholly owned subsidiary, Doğal Kağıt Hammaddeleri Sanayi ve Ticaret Limited Şirketi ("Doğal Kağıt"), whose business is not among the Company's core areas of activity, taking into consideration the limited contribution of Doğal Kağıt to the Company's principal production lines in terms of the location of its operations, the scale of its current operations and its principal business activity, as well as the fact that the long-term economic benefit to be derived from continuing its commercial activities in their current form would have a very limited impact on achieving the Company's strategic objectives. Accordingly, it has been assessed that the need for labour has been eliminated as a result of the foregoing.

At the meeting of the Board of Directors held on 28.08.2026, following the examinations and assessments conducted, it was resolved that Doğal Kağıt's commercial and operational activities would be definitively and permanently terminated as of 28.09.2026. As part of this process, if it is not possible to assign the employees working for Doğal Kağıt to other workplaces of our Company, it is planned to terminate their employment agreements in accordance with Article 17 of the Labour Law, following payment of their respective compensation, rights and receivables.

Doğal Kağıt will continue to provide services to its customers and suppliers until the planned date of cessation of its activities.

During this process, the necessary notifications will be duly made to the competent public authorities and institutions within the applicable periods.

The total amount of payments to be made as a result of the termination of employment agreements has not yet been finalized. If it is determined that such amount would have a material impact on the financial position and operating results of our Company, a separate public disclosure will be made.

The aforementioned transactions to be carried out in relation to Doğal Kağıt will not result in any material change or impact on the activities or financial structure of our Company.

Material developments regarding the matter will be shared with the public and our investors.
