Şirketimizin %100 bağlı ortaklığı olan Ferbis Tarım Ticaret ve Sanayi A.Ş. ("Ferbis", "Şirket") paylarının, Borsa İstanbul A.Ş.'de işlem görmek üzere halka arzı kapsamında esas sözleşme değişikliği için Sermaye Piyasası Kurulu'na ve Ticaret Bakanlığı'na başvurulduğu ve gerekli izinlerin alındığı daha önceki KAP açıklamalarımız ile duyurulmuştu.

Mevcut piyasa koşulları ve Ferbis'in stratejik öncelikleri göz önüne alınarak, halka arzın ileride yeniden değerlendirilmek üzere ertelenmesine ve bu kapsamda Şirket esas sözleşmesinin ilgili hükümlerinin tadil edilmesi amacıyla Sermaye Piyasası Kurulu'na başvurulduğu, gerekli izin ve uygun görüş alınmasını takiben Ticaret Bakanlığı'na başvurulmasına karar verildiği, bağlı ortaklığımız Ferbis tarafından Şirketimize bildirilmiştir.

It was previously announced in our disclosures made through the Public Disclosure Platform that applications had been submitted to the Capital Markets Board and the Ministry of Trade for the amendment of the articles of association within the scope of the public offering of the shares of Ferbis Tarım Ticaret ve Sanayi A.Ş. ("Ferbis" or the "Company"), our wholly owned subsidiary, for trading on Borsa İstanbul A.Ş., and that the necessary approvals had been obtained.

Our subsidiary Ferbis has informed our Company that, considering the prevailing market conditions and Ferbis's strategic priorities, the public offering has been postponed for reconsideration at a later date; that an application has accordingly been submitted to the Capital Markets Board to amend the relevant provisions of the Company's articles of association; and that it has been decided to submit an application to the Ministry of Trade upon obtaining the necessary approval and favorable opinion.

In contradiction between the Turkish and English versions of this public disclosure, the Turkish version shall prevail.
