Şirketimizin tüzel kişi ortağı Pusula Finans Holding A.Ş.'nin 30.08.2026 tarihli Yönetim Kurulu kararı kapsamında Şirketimize iletilen bildirimde;

Pusula Finans Holding A.Ş.'nin, Şirketimiz Katılımevim Tasarruf Finansman A.Ş.'nin güçlü finansal yapısına, büyüme perspektifine ve uzun vadeli değer yaratma potansiyeline duyduğu güven doğrultusunda, Şirketimiz sermayesindeki pay sahipliğinin artırılması amacıyla, Borsa İstanbul A.Ş.'de işlem gören Şirketimiz paylarından (KTLEV), toplam alım tutarı 10.000.000.000,00 TL'yi (On Milyar Türk Lirası) aşmayacak şekilde pay alımı gerçekleştirilmesine karar verildiği bildirilmiştir.

Bu kapsamda, pay alım işlemleri piyasa koşulları çerçevesinde Borsa İstanbul A.Ş. Pay Piyasası'nda gerçekleştirilecek olup, gerçekleştirilen işlemlere ilişkin açıklamalar ilgili mevzuat hükümleri çerçevesinde kamuoyu ve yatırımcılarımızla paylaşılacaktır.

Pursuant to the notification submitted to our Company within the scope of the Board of Directors' resolution of our corporate shareholder, Pusula Finans Holding A.Ş., dated August 30, 2026;

Pusula Finans Holding A.Ş. has informed our Company that, based on its confidence in the strong financial position, growth prospects and long-term value creation potential of Katılımevim Tasarruf Finansman A.Ş., it has resolved to purchase shares of our Company (KTLEV) traded on Borsa İstanbul A.Ş., for a total purchase amount not exceeding TRY 10,000,000,000.00 (Ten Billion Turkish Liras), with the aim of increasing its shareholding in our Company.

In this context, the share purchases will be carried out on the Borsa İstanbul A.Ş. Equity Market, taking into account market conditions, and disclosures regarding the transactions executed will be made available to the public and our investors in accordance with the applicable legislation.

This Material Event Disclosure is prepared in Turkish and in English. In case of any discrepancy between the two versions, Turkish disclosure will prevail.
