12 Mart 2026 tarihinde yapılan Olağan Genel Kurul Toplantısı'nda bağımsız yönetim kurulu üyesi olarak seçilen Sayın Katja Windt kendi isteğiyle görevinden ayrılmış olup, Kurumsal Yönetim Komitesi tarafından yapılan değerlendirme sonrasında Yönetim Kurulumuz tarafından, Sermaye Piyasası Kurulu'nun (SPK) Kurumsal Yönetim Tebliği'ne uygun olarak, Sayın Katja Windt'in yerine, Sayın Kay-Dirk Lindemann'ın bağımsız yönetim kurulu üyesi olarak atanmasını teminen SPK'ya uygun görüş talebinde bulunulmasına; SPK'dan uygun görüş alınması halinde kendisinin Türk Ticaret Kanunu'nun 363'üncü maddesi uyarınca toplanacak ilk genel kurulun onayına tâbi olmak ve ilgili genel kurulda onaylanması halinde selefinin kalan görev süresini tamamlamak üzere boşalan bağımsız yönetim kurulu üyeliğine atanmasına; ayrıca SPK'dan uygun görüş alınmasını takiben Sayın Dr. Kay-Dirk Lindemann'ın Denetimden Sorumlu Komite ve Kurumsal Yönetim Komitelerinde görevlendirilmesine karar verilmiştir. Ayrıca, 12 Mart 2026 tarihinde yapılan Olağan Genel Kurul Toplantısı'nda Yönetim Kurulu Üyeliğine seçilen Sn. James Kieran Vincent Cahill, Yönetim Kurulu Üyeliğinden ayrılmıştır. Boşalan Yönetim Kurulu üyeliğine, Sn. Maria Grazia Davino, toplanacak ilk Genel Kurul Toplantısına kadar görev yapmak ve ilgili genel kurulda onaylanması halinde selefinin kalan görev süresini tamamlamak üzere atanmıştır. Ms. Katja Windt, who was elected as an Independent Member of the Board of Directors at the Ordinary General Assembly Meeting held on March 12, 2026, has resigned from her position at her own request. Following the assessment made by the Corporate Governance Committee, the Board of Directors has resolved to apply to the Capital Markets Board of Türkiye ("CMB") for its opinion regarding the appointment of Mr. Kay-Dirk Lindemann as an Independent Member of the Board of Directors in place of Ms. Katja Windt, in accordance with the provisions of the CMB's Corporate Governance Communiqué. Subject to receipt of the CMB's affirmative opinion, Mr. Kay-Dirk Lindemann will be appointed to the vacant independent board membership pursuant to Article 363 of the Turkish Commercial Code, to serve until the approval of the first General Assembly to be convened and, if approved by the relevant General Assembly, for the remainder of his predecessor's term of office. Furthermore, following receipt of the CMB's affirmative opinion, Mr. Dr. Kay-Dirk Lindemann will be appointed to the Audit Committee and the Corporate Governance Committee.
