10.03.2025 tarihli özel durum açıklamamızda, Rekabet Kurumu tarafından gıda perakende sektöründe faaliyet gösteren, aralarında Şirketimizin de bulunduğu çeşitli teşebbüsler ve tedarikçiler hakkında iki soruşturma açılmasına karar verildiği bildirilmişti.

Bir soruşturma için, Şirketimizin 4054 sayılı Rekabetin Korunması Hakkında Kanun'un 4. maddesini ihlal etmediğine ve dolayısıyla aynı Kanun'un 16. maddesi uyarınca idari para cezası uygulanmasına gerek olmadığına karar verilmiştir.

Diğer soruşturmanın ise, Şok Marketler Ticaret A.Ş. bakımından uzlaşma usulü ile sonlandırılmasına karar verilmiş olup, Şirketimizin ödeyeceği tutar 39.910.027,96 TL (%25 erken ödeme indirimi ile 29.932.520,97 TL) olarak belirlenmiştir.

İşbu iki soruşturma için süreç tamamlanmış olup kamuoyunun bilgilerine sunarız.

İşbu açıklamamızın İngilizce çevirisi eş anlı kamuya açıklanmış olup, açıklama metinlerinde herhangi bir farklılık olması durumunda Türkçe açıklama esas kabul edilecektir.

In our material event disclosure dated 10.03.2025, it was reported that the Competition Authority had decided to initiate two separate investigations into various retail companies and their suppliers operating in the food retail sector, including our Company.

Regarding one of the investigations, it has been decided that our Company did not violate Article 4 of the Law No. 4054 on the Protection of Competition; therefore, it has been ruled that there is no need to impose an administrative fine pursuant to Article 16 of the same Law.

As for the other investigation, it has been decided to conclude the process through a settlement procedure with Şok Marketler Ticaret A.Ş. The settlement amount to be paid by our Company has been determined as TL 39,910,027.96 (TL 29,932,520.97 with a 25% early payment discount).

The process for both investigations has now been completed. This is presented for the information of the public.

The English translation of this statement has been simultaneously disclosed to the public. In the event of any discrepancy between the Turkish and English versions, the Turkish version shall prevail.
