oda_ExplanationTextBlock| | By its resolution dated 19 August 2026, our Company's Board of Directors resolved to postpone public disclosure regarding the submission of a bid by its principal shareholder in the tender for the selection of a second ground handling service provider for international flights at Terminal 3 of Hazrat Shahjalal International Airport in Bangladesh. The resolution was adopted on the grounds that, given the uncertainties during the period between submission of the bid and announcement of the outcome, public disclosure could both mislead investors and adversely affect the bargaining power and competitive position of our Company and its principal shareholder in their operations.
With a view to expanding our Company's global operations and enhancing its competitiveness, our principal shareholder, Çelebi Havacılık Holding A.Ş. ("ÇHH"), submitted a bid on 9 October 2026 in the highly competitive tender process for the selection, for a term of 15 years, of a second ground handling service provider for international flights at Terminal 3 ("T3") of Hazrat Shahjalal International Airport ("HSIA"), located in Dhaka, the capital of the People's Republic of Bangladesh (the "Tender"). Should the Tender be awarded to ÇHH, our Company may assume the rights and obligations arising under the Tender and execute the relevant binding agreement, taking into account the tender rules, the requirements and approvals of the tendering authority, competitive conditions and operational requirements.
Following submission of the bid, it has become necessary to make the inside information whose disclosure had previously been postponed publicly available through this material event disclosure. Should any concrete new development concerning the Tender process or its outcome arise that is material enough to affect the value or price of our Company's shares or investors' investment decisions, the necessary additional disclosures will be made in accordance with the regulations of the Capital Markets Board of Türkiye.
