oda_ExplanationTextBlock| | It has been reported in the press and disclosed to the public in the relevant country that the tender process regarding the framework agreement for the supply of 110 (34 firm + 76 optional) 12-meter battery-electric buses and the provision of full-service maintenance services, conducted by Azienda Trasporti Milanesi S.p.A. (ATM), in which our Company's business partner in Italy, KMOBILITY S.p.A., participated by offering our Company's vehicles, has been concluded. KMOBILITY S.p.A. has informed our Company that, in the official notification made by ATM to KMOBILITY S.p.A., it was stated that, pursuant to the tender decision dated 26 October 2026, the tender had been definitively awarded in favor of KMOBILITY S.p.A. Pursuant to the applicable public procurement legislation of the relevant country, there is a statutory waiting period of 30 days prior to the signing of the contract, during which the other tender participants are entitled to exercise their rights of objection and seek judicial remedies in accordance with the applicable legislation. The term of the contract is 4 years, and it is in the nature of a framework agreement setting out the scope and conditions of the orders that may be requested by ATM during this period. In the event that the contract is signed, ATM will have the right to place orders for vehicles with KMOBILITY under the framework of this agreement. In the event that the contract is signed and/or a definitive order is secured from the perspective of our Company, the necessary disclosures will be made to the public in accordance with the applicable capital markets legislation. An English translation of this disclosure is available, and in the event of any discrepancy between the Turkish and English versions of this disclosure, the Turkish version shall prevail. | ||||||||
