oda_ExplanationTextBlock| | In our board meeting, The issuance abroad, in one or more tranches, of debt instruments in the form of bonds and/or financing bills denominated in US Dollars and/or equivalent foreign currency and/or Turkish Lira, up to a total amount of USD 250,000,000, bearing fixed and/or floating interest rates to be determined according to market conditions, and the application to the Capital Markets Board (CMB) and the Banking Regulation and Supervision Agency (BRSA) regarding this issuance limit, The establishment by our Company, in line with macroeconomic conditions and the Company's needs, of a Medium Term Note (MTN) Programme with a contractual issuance limit of USD 250,000,000, and the making of issuance(s) up to the CMB issuance ceiling in force on the relevant date, and The authorization of the General Directorate for the signing, on behalf and for the account of our Company, of all agreements and all other kinds of documents (including but not limited to any arbitration agreement) relating to the above-mentioned transactions and of any amendments that may be made thereto, the execution and performance of all kinds of transactions relating to the financing, and the preparation and drawing up of all kinds of notices, instructions and notifications to be issued,was resolved unanimously by those present. | ||||||||
