Soho Giyim ve Enerji A.Ş.'nin (Şirket) halka arz edilecek 100.000.000 TL nominal değerli payları Borsa Birincil Piyasa'da Sabit Fiyatla Talep Toplama ve Satış Yöntemi ile beher pay için 15 TL fiyattan 30/06-01/07/2026 tarihlerinde İntegral Yatırım Menkul Değerler A.Ş. aracılığıyla, SOHOE.HE (ikincil piyasada işlem kodu SOHOE.E olacaktır) işlem sırasında satışa sunulacaktır.

SOHOE.HE'ye iletilecek emirlerde yalnızca [İptale Kadar Geçerli (İKG)] emir geçerlilik süresi kullanılmalıdır. İlgili sırada maksimum emir değeri 1.500.000.000 TL olacaktır. Halka arza ilişkin emirlerin Borsamıza iletilmesine aracılık eden üyelerin, emirleri Borsamız birincil piyasasına iletirken kendi risk tanımlamaları çerçevesinde birden fazla emre bölerek iletmeleri halinde fiyat - zaman önceliğini haiz ilk emir dışındaki diğer emirler mükerrer olarak girilmiş olacağından dağıtıma konu edilmemektedir.

Şirket payları, birincil piyasa işlemlerinin tamamlanmasını takiben, Borsamızca yapılacak değerlendirmenin ardından ikincil piyasada işlem görebilecektir.

Şirketin paylarının halka arzına ilişkin izahname Kamuyu Aydınlatma Platformu'nun https://www.kap.org.tr/tr/sirketler/DK internet adresinde yayınlanmaktadır.

Soho Giyim ve Enerji A.Ş. (Company) will offer its TRY 100.000.000 nominal valued shares to public for sale with Fixed Price Sales via Book Building Method in the Primary Market, at TRY 15 price per share, via İntegral Yatırım Menkul Değerler A.Ş. on 30/06-01/07/2026 with the ticker of SOHOE.HE (ticker will be SOHOE.E in the secondary market).

Only the good till cancel (GTC) order validity should be used for orders to be sent to SOHOE.HE. The maximum order value for SOHOE.HE will be TRY 1.500.000.000 In the event that BIST members, who mediate the transmission of orders for public offering to BIST, split the orders within the framework of their risk definitions while transmitting the orders to the primary market of BIST, orders other than the first order with price-time priority will be considered as repeating orders and will not be subject to the allocation.

Following the primary market transactions, company shares will be traded in the secondary market after the assessment of Borsa İstanbul A.Ş.
